The successful candidate must have experience in incorporation procedures and corporate maintenance; assisting in business transactions, including mergers and acquisitions, and in securities offerings and compliance. Responsibilities include: drafting of corporate documentation; corporate maintenance and compliance; assistance with private placements, venture capital, and public offerings; preparation of SEC and state blue sky filings; document retrieval, business research, and corporate document filing; UCC searches, preparation and filings; assistance with due diligence; transactional closing activities and post-closing follow-up. Qualified candidates must have a minimum of four years’ relevant experience. Four-year college degree and paralegal certificate or appropriate job-related experience in corporate; strong computer skills including PC, Internet and database; strong organizational and management skills, strong communication skills, both oral and written; and ability to work well under pressure.
